Terms of Service

These Terms of Service (the "Terms") govern your access to and use of Portalyx, including the admin dashboard, the Portalyx Driver mobile application, our website, and related services (together, the "Service"), provided by the legal entity operating Portalyx (the "Company", "we", "us"). By creating an account or using the Service, you agree to these Terms.

1. Acceptance

By signing up, clicking "I agree", or using the Service, you accept these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

  • The Service is for use by registered businesses operating fleets, shipping, or logistics activities.
  • You must be at least 18 years old and legally authorized to bind your organization.
  • You are responsible for ensuring you may lawfully use the Service in your jurisdiction.

3. Description of the Service

Portalyx is a Software-as-a-Service Fleet & Shipping ERP. We provide the Service "as is" and on an evolving basis: features may be added, changed, or removed over time. Material changes will be communicated to administrators where reasonably possible.

4. Accounts

  • You must provide accurate, current, complete information when registering.
  • One organization account; you may create multiple users under it within your subscription limits.
  • You are responsible for safeguarding credentials and for all activity under your account.
  • Notify us immediately at security@portalyx.app of any unauthorized access.

5. Subscription & billing

  • The Service is offered in tiers. Each tier has usage limits — driver accounts, trips and admin users — and the tiers and their limits are the ones shown on our pricing page, which reads them from the plan record that applies to your market.
  • Subscriptions may be billed monthly or annually. Annual subscriptions may receive a discount.
  • Free trials are time-limited; at the end of the trial, the subscription auto-renews unless cancelled.
  • Payments are non-refundable except where required by law or where we expressly provide a refund.
  • Prices are exclusive of any applicable taxes; you are responsible for taxes due on your purchase.
  • We may change pricing with at least 30 days' notice for the next billing cycle.

6. Acceptable use

You agree not to:

  • Reverse-engineer, decompile, or attempt to extract source code from the Service.
  • Resell, sublicense, or provide the Service to third parties as a service of your own.
  • Use the Service for illegal cargo, sanctioned trade, or any unlawful purpose.
  • Attempt to disrupt, overload, or compromise the Service or its infrastructure.
  • Scrape, mass-export, or systematically harvest data beyond legitimate use of your own organization's data.
  • Misuse another user's data or impersonate any party.

7. Customer data & ownership

  • You own your data. Customer data uploaded to the Service remains the property of your organization.
  • You grant us a limited license to host, process, and display your data solely to operate, secure, and improve the Service for you.
  • You are responsible for the lawfulness of the data you upload and for obtaining any necessary consents (e.g., from your drivers).
  • On account closure you may export your data per our documented procedure for a defined period.

8. Intellectual property

The Service, including the Portalyx software, brand, logos, designs, and documentation, is owned by the Company and protected by intellectual property laws. Nothing in these Terms transfers ownership of those rights to you.

9. Suspension & termination

  • You may cancel your subscription at any time from your account.
  • We may suspend or terminate the Service for breach of these Terms, non-payment, or security incidents.
  • On termination we will preserve a final export of your data for a reasonable period and then delete it, except as required by law.

10. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement, except as required by law. We do not warrant that the Service will be uninterrupted or error-free.

11. Limitation of liability

To the maximum extent permitted by law, the Company will not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption. Our total liability for any claim is capped at the amount you paid for the Service in the twelve months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless the Company against third-party claims arising from your unlawful use of the Service, your data, or your breach of these Terms.

13. Governing law & disputes

These Terms are governed by the laws of the Arab Republic of Egypt. Any dispute will be submitted to the competent courts of Cairo, Egypt, unless mandatory law provides otherwise. The parties may attempt good-faith negotiation before litigation.

14. Changes to these Terms

We may update these Terms from time to time. For material changes we will notify you via email or in-product notice at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance.
